1. Agreement

This End User License Agreement (the “Agreement”) is between McNile Inc., Calgary, Alberta, Canada (“McNile,” “we,” or “us”), and the individual or organization that purchases or uses CrossCheck (“you”). By installing or using CrossCheck, you agree to this Agreement.

2. Early-access software

CrossCheck is early-access software. It may contain defects, change during the 0.x and 1.x release series, or behave differently from a finished commercial product. You should evaluate each update before using it with live project information and maintain current, independently stored backups.

CrossCheck is not certified by Microsoft or Apple. The Windows installer is unsigned. The macOS app is ad-hoc signed and is not Apple-notarized. An operating system may require a first-launch override; follow the installation guidance only for an official Gumroad download whose checksum matches the published release information.

3. License grant

After payment, McNile grants you a limited, non-exclusive, non-transferable license for one coordinator to install and use CrossCheck on one active computer at a time, on either Windows or macOS, for internal professional use. You may use the software with unlimited local projects. You may move the license between your own computers provided only one installation is actively used at a time.

4. Updates

Your Early Access purchase includes CrossCheck 0.x and 1.x updates made available to purchasers. A future major 2.0 release may require a separate purchase. McNile does not promise a particular feature, release date, update frequency, or support period.

5. Restrictions

You may not sell, sublicense, rent, distribute, or make CrossCheck available to another user; circumvent license limits; or reverse engineer the software except to the limited extent applicable law expressly permits. The license does not transfer ownership of CrossCheck or its source code.

6. Professional responsibility

CrossCheck records, organizes, reviews, and exports information that you import or enter. It does not locate underground utilities, provide live One Call integration, certify regulatory compliance, approve excavation or permits, make safety decisions, or replace professional review and judgment. You remain responsible for verifying all information and decisions that affect ground disturbance, damage prevention, permits, locates, construction, or field safety.

7. Local data and backups

CrossCheck stores project information in folders you select. CrossCheck does not encrypt that project data. You are responsible for access controls, device security, the lawful handling of personal or confidential information, and maintaining usable backups in an appropriate separate location. Uninstalling CrossCheck is not intended to remove your project folders, but you should always verify your backup before updating, reinstalling, or changing computers.

8. Support

Early Access includes best-effort support by email at admin@spiritbox.ca. We do not guarantee response or resolution times.

9. Refunds

You may request a good-faith refund within 14 days of purchase by emailing admin@spiritbox.ca with the purchase details and reason for the request. Refunds are also subject to the purchase platform's processing rules and any rights that cannot be excluded under applicable law.

10. Warranty disclaimer

To the maximum extent permitted by law, CrossCheck is provided “as is” and “as available,” without warranties or conditions of any kind, whether express, implied, statutory, or collateral, including merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, or uninterrupted operation.

11. Limitation of liability

To the maximum extent permitted by law, McNile is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, profit, business, opportunity, or goodwill arising from CrossCheck. McNile's total aggregate liability related to CrossCheck will not exceed the amount you paid for it. Nothing in this Agreement limits liability that applicable law does not permit us to limit.

12. Termination

This Agreement remains effective until terminated. Your license terminates if you materially breach it and do not remedy the breach after notice where a remedy is possible. On termination, stop using and uninstall CrossCheck. Sections that by their nature should survive termination—including ownership, disclaimers, liability limits, and governing law—will survive.

13. Governing law

This Agreement is governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Calgary, Alberta have exclusive jurisdiction, except where applicable consumer or other law requires otherwise.
